This is a high impact role which plays an integral part in the success of the Group and the way it conducts its business. You will need to navigate increasingly complex laws and best practices with the objective of achieving operational excellence and high standards of integrity and ethics. 

You will assist, and in some cases lead, on legal, risk and compliance  “LRC” matters for the Hyva group around the world, including contracts, corporate governance, risk management, disputes, intellectual property & anti-counterfeit measures, HR and M&A. Support other members of the LRC team (the General Counsel and Legal Counsel & Compliance Manager) on compliance and regulatory matters, including CSR/ESG.

You will be part of the Legal Department lead by General Counsel and Compliance Officer located in Dubai (10+ years in the company) and colleagues based in China and Poland.

Main tasks & responsibilities:

Corporate / Commercial (20%) 

Draft contracts—using standard forms or otherwise—for purchasing, distribution, agency, co-operation, R&D, ICT, intra-group loans, NDAs etc.

Corporate Governance, Compliance and Regulatory (30%)

Assist with drafting, rolling out, administering/updating and training personnel on compliance policies and protocols (compliance with sanctions, business partner approval process, supply chain management, whistleblowing, etc). The same as above regarding internal corporate governance policies (delegation of authority, signing policies, management handbook, etc).

Risk Management and Disputes (20%)

Roll out, administering/updating and training personnel on protocols for other risks. Assist with the diligence on business partners and in dispute resolution strategy, negotiations and settlement.

Company Secretarial (20%)

Assist with oversight of global company secretarial matters, including board & shareholder meetings and the appointment of directors.

Requirements:

  • Educational Level: Master Level.
  • Professional Experience: 2-4 years of experience with international commercial contracts, risk & compliance matters.
  • Key hard skills: Legal Research and Analysis; Litigation Management; Corporate Governance; Commercial Law.
  • Key soft skills: Communication, Stakeholder Management, Collaboration, Ethical Judgment.
  • Personality traits: Resilient, Time Management, Proactive, Collaborative and Flexible.
