Assistant Company Secretary & Legal

For the HQ of Hyva India we are looking for Assistant Company Secretary and Legal profile will take lead on Secretarial and Legal matters for Hyva India ensuring all Compliances under Indian Laws and Group Legal Policies.

Company secretarial
Filing and other tasks usually done by a Practicing Company Secretary, as per the Companies Act:
• Conducting of Board and Shareholder Meetings and related processes.
• Annual returns, tax and other filings
• Secretarial Activities as per Companies Act, 2013 and Secretarial Standards in India
• Conducting of CSR Meetings and related process
• Co-ordination with Practicing CS for Annual certifications and other requirements.

Contracts, litigation
• Co-ordinating Contract review (using standard forms or otherwise), approval and signatures. Purchasing, distribution, agency, co-operation, R&D, IT, intra-group loans, etc.
• Legal vetting of contracts as per Indian Contract Act, 1872 in India
• Support on M&A, joint ventures.
• Support on court matters.
• Keep up-to-date tracker of litigation and other disputes.

Corporate governance, compliance and regulatory
• Assists with rolling out, administering/updating and training personnel on corporate governance and compliance policies and protocols.
• Assists in ensuring internal delegation of authority and external signing policies are adhered to.
• RBI matters – filings and correspondence.

External professionals

• Liaises with external lawyers in India and controlling costs.
• Assists with the collection and organization of LRC Know-How.
• Assists with the LRC input into the annual external audit.


• Qualified Company Secretary (min 2 years of relevant experience)
